Terms of Service

1. Agreement to Terms

By creating an account or using MSPAloyal ("the Platform"), you agree to these Terms of Service. If you do not agree, do not use the Platform. These terms apply to all users including patients, practice owners, and staff.

2. Who We Are

MSPAloyal is operated by MedSpa Performance Academy, LLC, 21305 NE 189th St, Woodinville, WA 98077. Questions: legal@mspaloyal.com

3. Eligibility

You must be at least 18 years old to use MSPAloyal. By using the Platform you represent that you meet this requirement.

4. Patient Accounts

As a patient member you may:

• Earn loyalty points by visiting participating practices
• Redeem points for rewards offered by your practice
• Send gift credits to friends and family
• Refer friends to earn bonus points
• Manage a paid membership plan

Points have no cash value and cannot be transferred, sold, or redeemed for cash. Points may expire as determined by your participating practice. Rewards are subject to availability and may be modified or discontinued at any time by the participating practice.

5. Practice Owner Accounts

As a practice owner you may:

• Create and manage a practice profile
• Manage patient loyalty accounts for your enrolled patients
• Create treatments, membership plans, promotions, and rewards
• Access patient visit history and points activity for your practice only

Practice owners are responsible for ensuring their use of MSPAloyal complies with all applicable laws including healthcare privacy regulations applicable to their practice.

6. Membership Subscriptions (Patients)

Paid membership plans are billed monthly via Stripe. By subscribing you authorize recurring charges to your payment method. You may cancel anytime — cancellation takes effect at the end of the current billing period. No refunds are issued for partial months. Membership perks are provided by the participating practice and may vary.

7. Platform Subscriptions (Practice Owners)

Practice owners subscribe to MSPAloyal on monthly plans. Billing is handled via Stripe. Plans may be upgraded or downgraded at any time. Cancellation takes effect at the end of the current billing period. MedSpa Performance Academy, LLC reserves the right to modify pricing with 30 days notice.

8. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose
• Attempt to gain unauthorized access to any account or system
• Reverse engineer, copy, or resell any part of the Platform
• Use the Platform to harass, defraud, or harm others
• Create fake accounts or manipulate points balances fraudulently

Violations may result in immediate account termination.

9. AI Features

MSPAloyal includes an AI Treatment Advisor powered by Anthropic's Claude. This feature provides general wellness information only and is not a substitute for professional medical advice, diagnosis, or treatment. Always consult a qualified healthcare provider for medical decisions.

10. Intellectual Property

All content, design, code, and trademarks associated with MSPAloyal are the property of MedSpa Performance Academy, LLC. You may not copy, reproduce, or distribute any part of the Platform without written permission.

11. Disclaimer of Warranties

MSPAloyal is provided "as is" without warranties of any kind. We do not guarantee uninterrupted access, error-free operation, or that the Platform will meet your specific requirements.

12. Limitation of Liability

To the maximum extent permitted by law, MedSpa Performance Academy, LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform. Our total liability to you shall not exceed the amount you paid us in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless MedSpa Performance Academy, LLC, its owners, employees, and partners from any claims, damages, or expenses arising from your use of the Platform or violation of these terms.

14. Governing Law

These terms are governed by the laws of the State of Washington. Any disputes shall be resolved in the courts of King County, Washington.

15. Changes to Terms

We may update these terms at any time. Continued use of the Platform after changes constitutes acceptance. We will notify users of material changes by email.
